Welcome to OVERAY Inc. (“OVERAY”, “we”, “us”, or “our”). We operate this online store and website, including all related information, content, features, tools, products, and services, to provide you with a curated shopping and product experience (the “Services”). SECTION 1 – ACCESS AND ACCOUNT

To use the Services, including making purchases, you may be required to provide certain information such as your name, contact details, billing address, and payment information. You warrant that all information you provide is accurate, current, and complete, and that you are authorized to provide it.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You may not transfer or assign your account to any other person.

You represent that you are at least the age of majority in your jurisdiction of residence.

SECTION 2 – OUR PRODUCTS

We strive to describe and display our products accurately. However, colors, materials, and appearance may vary depending on your device settings and screen.

We do not guarantee that any product or service will meet your expectations. All products, descriptions, and pricing are subject to change without notice. We may discontinue or limit the quantity of products available.

Some products are designed to be used with third-party hardware (e.g., VR headsets). You are responsible for verifying compatibility and following safety guidelines from us and the device manufacturer.

SECTION 3 – ORDERS

Placing an order is an offer to purchase. We may accept or reject any order at our discretion. An order is considered accepted once payment is processed and you receive an order confirmation email.

We may cancel or modify orders due to product unavailability, errors in pricing or description, suspected fraud, or inability to verify payment information. If an order is canceled after payment, we will refund the full amount to your original payment method.

Your purchases are subject to our Refund & Return Policy.

You represent that all products purchased are for personal or household use and not for resale or export.

SECTION 4 – PRICES AND BILLING

Prices and promotions are subject to change without notice. Prices do not include shipping, taxes, customs duties, or import charges unless stated otherwise.

You agree to provide valid, accurate, and up-to-date billing information. You authorize us to charge your payment method for all orders placed.

By submitting payment details, you represent that you are authorized to use the payment method and that the payment will be honored.

SECTION 5 – SHIPPING AND DELIVERY

Delivery estimates are provided for convenience only and are not guaranteed. Once products are handed to the carrier, risk and title transfer to you.

We are not responsible for delays caused by carriers, customs, or factors outside our control.

You are responsible for providing accurate shipping details. Returned shipments due to incorrect addresses may require additional shipping fees.

Customs duties, taxes, and import charges (if applicable) are your responsibility.

SECTION 6 – PRODUCT USE, SAFETY, AND WARRANTY

Some of our products are accessories for third-party hardware. You must:

  • Verify compatibility

  • Follow installation and usage instructions

  • Adhere to health and safety guidelines

Improper use may cause damage or injury and may void warranties.

Except where required by law or expressly stated by us, products are provided “as is” without additional warranties. Your statutory consumer rights are not affected.

OVERAY trademarks, product names, and brand assets may not be used without our permission.

SECTION 8 – OPTIONAL THIRD-PARTY TOOLS

We may provide access to third-party tools or integrations. These are provided “as is” and without warranties. Use of such tools is at your own risk, and you must review and accept the applicable third-party terms.

SECTION 9 – THIRD-PARTY LINKS

Our Services may contain links to third-party websites that are not controlled by us. We are not responsible for the content, accuracy, or policies of third-party sites.

Engaging with third-party content or transactions is at your own risk.

SECTION 10 – RELATIONSHIP WITH SHOPIFY

Our store is powered by Shopify, but any purchases you make are directly between you and OVERAY Inc.

Shopify is not responsible for any damages, losses, or claims arising from transactions between you and OVERAY Inc. You agree to release Shopify from such claims.

SECTION 11 – PRIVACY POLICY

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and share your personal information.

Because the Services are hosted by Shopify, your information will also be processed by Shopify and certain third-party providers, which may be located outside your country.

You agree to indemnify and hold harmless OVERAY Inc., Shopify, and their respective affiliates, employees, and agents from claims arising from your breach of these Terms or misuse of the Services.

SECTION 19 – SEVERABILITY

If any part of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

SECTION 20 – ENTIRE AGREEMENT

These Terms, together with our posted policies, constitute the entire agreement between you and OVERAY Inc. and supersede prior agreements.

SECTION 21 – ASSIGNMENT

You may not transfer these Terms without our consent. We may assign our rights at any time without notice.

SECTION 22 – GOVERNING LAW

These Terms are governed by the laws of the Republic of Korea.
You and OVERAY Inc. agree to submit to the exclusive jurisdiction of the courts located in Daejeon, South Korea, unless otherwise required by applicable consumer protection laws.

SECTION 23 – CHANGES TO TERMS

We may update these Terms at any time. Continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
